These Terms and Conditions ("Terms") govern your access to and use of Flozi, including our website, applications, integrations, APIs, and related services (collectively, the "Services").

The Services are operated by UV Foundry LLC, a Wyoming limited liability company ("Flozi", "we", "our", or "us").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

Description of Services

Flozi provides software and services related to:

• Search Engine Optimization (SEO)
• Answer Engine Optimization (AEO)
• Website analysis
• Content intelligence
• Content recommendations
• AI-powered insights
• Website performance analysis
• Ecommerce analysis
• Content generation
• Website optimization
• Integrations with third-party platforms
• Reporting and analytics
• Future features and related services

Flozi may add, modify, suspend, or discontinue features at any time.

Beta Services

Flozi is an evolving software platform. Certain features, functionality, integrations, automations, reports, analyses, recommendations, AI-powered capabilities, and other components of the Services may be designated as beta, preview, experimental, early-access, testing, or pre-release features ("Beta Services").

Beta Services are provided for evaluation and testing purposes and may contain bugs, errors, defects, inaccuracies, interruptions, security vulnerabilities, performance issues, or other limitations.

Beta Services may be modified, restricted, suspended, replaced, or discontinued at any time without notice.

You acknowledge and agree that use of Beta Services is entirely at your own risk.

Flozi makes no representations, warranties, guarantees, commitments, or assurances regarding the availability, reliability, accuracy, security, performance, suitability, or fitness of Beta Services for any purpose.

You should not rely exclusively on Beta Services for critical business operations, legal compliance, regulatory compliance, financial decisions, disaster recovery, record retention, mission-critical systems, or revenue-generating activities.

Account Registration

To access certain features, you must create an account.

You agree to:

• Provide accurate information
• Maintain accurate account information
• Keep your login credentials secure
• Notify us of unauthorized account access
• Be responsible for activities occurring under your account

You may register using email and password or supported authentication providers such as Google.

Team Workspaces

Flozi may allow organizations to create workspaces and invite team members.

Workspace administrators may access information, content, reports, analyses, recommendations, and integrations associated with their workspace.

Organizations are responsible for managing user permissions and access controls within their workspace.

Subscriptions, Billing, and Free Trials

Certain Services require a paid subscription.

Flozi may offer free plans, free trials, promotional access, or limited-use versions of the Services.

Subscription fees, usage limits, and included features are described on applicable pricing pages or order forms.

Subscriptions automatically renew unless canceled before the next billing cycle.

If you cancel a subscription, access to paid features will continue until the end of the current billing period. Your subscription will not renew after that period expires.

You authorize Flozi and its payment processors to charge applicable subscription fees, taxes, and related charges.

Payments are processed through Stripe or other payment providers selected by Flozi.

Refunds

Refund eligibility may vary depending on the subscription, promotional offer, enterprise agreement, applicable law, or specific circumstances.

Unless otherwise required by law or stated in a separate written agreement, subscription fees are generally non-refundable.

Enterprise agreements may contain separate refund or billing provisions.

User Content

You retain ownership of all content, data, materials, and information that you upload, connect, submit, publish, or make available through the Services ("User Content").

This includes, without limitation:

• Website content
• Product information
• Blog content
• Analytics data
• Search performance data
• Media assets
• Images
• Connected platform content

You grant Flozi a limited, worldwide, non-exclusive license to access, process, store, analyze, reproduce, and use User Content solely to provide, operate, improve, secure, and maintain the Services.

Connected Platforms and Integrations

Flozi may integrate with third-party platforms including, but not limited to:

• Shopify
• Webflow
• Google Search Console
• Google Analytics
• OpenAI
• Other AI providers
• Other third-party services

You are responsible for ensuring that you have the necessary rights and permissions to connect and authorize such services.

Your use of third-party platforms remains subject to their respective terms, policies, and agreements.

Flozi is not responsible for the availability, actions, policies, or functionality of third-party services.

Third-Party Platforms and Services

The Services rely on third-party platforms, APIs, infrastructure providers, hosting providers, payment processors, artificial intelligence providers, analytics providers, and other external services.

Flozi does not control and is not responsible for:

• Third-party outages
• API failures
• API changes
• API deprecations
• Platform restrictions
• Platform suspensions
• Platform bans
• Service interruptions
• Data availability issues
• Security incidents affecting third parties
• Changes to third-party functionality
• Changes to search engine algorithms
• Changes to AI systems
• Changes to e-commerce platforms

This includes, without limitation, Shopify, Webflow, Google, OpenAI, Stripe, cloud infrastructure providers, hosting providers, and any future third-party services used by Flozi.

Artificial Intelligence Features

Flozi may provide AI-powered recommendations, analyses, content suggestions, reports, metadata generation, optimization suggestions, and related functionality.

AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular purpose.

You acknowledge that AI outputs are generated automatically and may require review, verification, and modification.

You remain solely responsible for reviewing, approving, publishing, implementing, or relying upon any recommendations, content, analyses, or outputs generated by Flozi.

User Responsibility and Content Approval

You remain solely responsible for all actions taken using the Services.

This includes, without limitation:

• Reviewing recommendations
• Reviewing analyses
• Reviewing reports
• Reviewing AI-generated outputs
• Reviewing metadata
• Reviewing generated content
• Reviewing optimization suggestions
• Reviewing automation actions
• Reviewing integrations
• Reviewing publishing actions

You are solely responsible for determining whether any recommendation, output, analysis, report, content, or action generated by Flozi is appropriate for your specific circumstances.

Any content, metadata, recommendations, analyses, optimizations, automations, or changes published, implemented, approved, or relied upon by you are done entirely at your own risk.

Flozi does not assume responsibility for any decisions, actions, modifications, publications, business outcomes, or consequences resulting from use of the Services.

Audit Logs and System Records

Flozi may maintain logs, audit trails, system records, account activity records, integration activity records, publishing records, usage records, authentication records, and other operational records relating to use of the Services.

To the maximum extent permitted by law, Flozi's system records, logs, audit trails, and platform records shall be presumed accurate unless demonstrated otherwise by clear and convincing evidence.

Such records may be used for security, compliance, operational, billing, support, dispute resolution, fraud prevention, and enforcement purposes.

Users acknowledge that Flozi may rely upon these records in resolving disputes, investigating incidents, and enforcing these Terms.

No Professional Advice

The Services are provided solely as software tools and informational resources.

Nothing contained within the Services constitutes legal advice, financial advice, tax advice, accounting advice, investment advice, compliance advice, regulatory advice, business advice, or any other professional advice.

You should consult qualified professionals before making decisions based on information provided through the Services.

Flozi is not responsible for decisions made based upon recommendations, analyses, reports, outputs, content, or information generated by the Services.

Flozi does not guarantee:

• Search rankings
• Search visibility
• AI visibility
• AI citations
• Indexing outcomes
• Traffic increases
• Revenue increases
• Lead generation
• Business performance
• Ecommerce performance
• Conversion improvements
• Any specific result or outcome

Search engines, AI systems, algorithms, platforms, APIs, and external services continually change and may impact results.

Any examples, projections, benchmarks, recommendations, or historical performance information are provided for informational purposes only.

Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Infringe intellectual property rights
• Upload malicious code, malware, or harmful software
• Attempt unauthorized access to systems or accounts
• Interfere with the operation of the Services
• Circumvent usage limits or security measures
• Use the Services for spam, fraud, deception, or unlawful activity
• Reverse engineer or attempt to extract source code except where prohibited by law
• Use the Services in a manner that violates the terms of connected third-party platforms

Flozi may suspend or terminate accounts that violate these Terms.

Intellectual Property

Flozi and its licensors own all rights, title, and interest in the Services, including:

• Software
• User interfaces
• Branding
• Logos
• Documentation
• Proprietary methodologies
• Platform-generated reports and systems

These Terms do not grant ownership rights in Flozi intellectual property.

Except as expressly permitted, you may not copy, distribute, modify, or create derivative works of the Services.

Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Services, Flozi may use such feedback without restriction or compensation.

Service Availability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Flozi does not guarantee uninterrupted availability, error-free operation, continuous access, uptime levels, or compatibility with any specific system.

Maintenance, upgrades, outages, third-party failures, security incidents, and other factors may affect availability.

Data Backup and Recovery

You are solely responsible for maintaining independent backups of all content, websites, ecommerce stores, products, collections, media assets, analytics data, business records, reports, and other information.

Flozi does not guarantee the preservation, retention, recoverability, restoration, availability, or integrity of any data.

Flozi shall not be liable for any loss, corruption, deletion, modification, inaccessibility, destruction, delay, or unavailability of data.

Force Majeure

Flozi shall not be liable for any delay, interruption, failure, degradation, loss, or inability to perform resulting from causes beyond its reasonable control.

Such causes include, without limitation:

• Natural disasters
• Floods
• Fires
• Earthquakes
• Pandemics
• Epidemics
• War
• Terrorism
• Civil unrest
• Labor disputes
• Government actions
• Regulatory changes
• Utility failures
• Internet failures
• Telecommunications failures
• Cloud provider outages
• Infrastructure failures
• Cyberattacks
• Distributed denial-of-service attacks
• Third-party service failures
• Acts of God

Suspension and Termination

Flozi may suspend or terminate access to the Services if:

• You violate these Terms
• Payment obligations are not satisfied
• Required by law
• Necessary to protect the Services, users, or third parties

You may stop using the Services at any time.

Termination does not relieve either party of obligations accrued prior to termination.

Additional Limitation of Liability

To the maximum extent permitted by law, UV Foundry LLC and its current, former, and future owners, members, managers, officers, directors, employees, contractors, consultants, advisors, representatives, affiliates, licensors, successors, assigns, service providers, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising from or relating to the Services.

This limitation applies regardless of the legal theory asserted and regardless of whether Flozi has been advised of the possibility of such damages.

Without limitation, Flozi shall not be liable for:

• Loss of revenue
• Loss of profits
• Loss of customers
• Loss of business opportunities
• Loss of goodwill
• Loss of contracts
• Loss of data
• Data corruption
• Search ranking losses
• AI visibility losses
• Indexing losses
• Traffic losses
• E-commerce losses
• Lead generation losses
• Marketing losses
• Publishing errors
• Automation errors
• AI-generated errors
• Content inaccuracies
• Security incidents
• Business interruption
• System downtime
• Platform outages
• Third-party failures

If liability cannot be excluded under applicable law, Flozi's maximum aggregate liability shall not exceed the greater of:

(a) One Hundred United States Dollars (USD $100); or

(b) The fees paid by the customer to Flozi during the three (3) months immediately preceding the event giving rise to the claim.

Limitation Period

To the maximum extent permitted by law, any claim, action, dispute, or proceeding arising out of or relating to the Services or these Terms must be commenced within twelve (12) months after the event giving rise to the claim.

Any claim not brought within that period shall be permanently barred.

Class Action Waiver

To the maximum extent permitted by law, you agree that any claim arising out of or relating to the Services shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, representative action, consolidated action, or similar proceeding.

You expressly waive any right to participate in any class action, collective action, or representative proceeding against UV Foundry LLC.

Release

To the maximum extent permitted by law, you release and discharge UV Foundry LLC and its current, former, and future owners, members, managers, officers, directors, employees, contractors, consultants, advisors, affiliates, successors, assigns, service providers, and partners from any and all claims, liabilities, demands, damages, losses, costs, and expenses arising out of or relating to your use of the Services.

This release applies to claims whether known, unknown, suspected, or unsuspected.

Indemnification

You agree to defend, indemnify, and hold harmless UV Foundry LLC and its affiliates, officers, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of applicable law
• Your violation of third-party rights

Changes to the Services

Flozi may modify, update, replace, suspend, or discontinue any aspect of the Services at any time.

We are not obligated to continue offering any specific feature, integration, API, report, or functionality.

Changes to These Terms

We may update these Terms from time to time.

If material changes are made, we may provide notice through the Services, email, or other reasonable means.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Venue and Jurisdiction

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Wyoming, United States.

You consent to the personal jurisdiction of such courts and waive any objection based on venue or inconvenient forum.
